Terms of Service

1. Scope & Acceptance of Terms

These Terms of Service ("Terms") form a binding legal agreement between you (either an individual developer or the legal entity you represent, "Customer") and Zopyr AI ("Zopyr", "we", "us") governing your use of our unified AI inference gateway, APIs, SDKs, websites, and developer dashboard (collectively, the "Services").

By registering an account, generating an API key, or transmitting inference requests to Zopyr endpoints, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy.

2. Accounts, Organizations & API Key Security

To access the Services, you must provide accurate registration information and maintain a verified email address or phone number. You may create multi-user Organizations and assign role-based permissions (Owner, Admin, Member, Billing, Viewer).

API keys are confidential bearer credentials. You are solely responsible for all inference traffic, token consumption, and activity authenticated with your Organization’s API keys.

• Configure per-key credit limits, RPM/TPM rate caps, allowed model lists, and CIDR IP allowlists to minimize risk.
• Revoke compromised or leaked keys immediately via the Dashboard (/app/keys) or REST API.
• Administrators and Owners must enforce two-factor authentication (2FA) where required by organizational policy.

3. Prepaid Credits, Nano-USD Metering & Pricing

Zopyr operates on a prepaid, pay-as-you-go wallet model. All ledger balances and token charges are accounted for internally in integer nano-USD (1 USD = 1,000,000,000 nanos) to guarantee zero floating-point rounding drift.

Before forwarding an inference request to an upstream provider, Zopyr places a temporary hold on your spendable wallet balance equal to the estimated maximum cost of the request. Upon completion or stream termination, the hold is settled to the exact charge based on the published per-token price of the serving endpoint.

• Published model prices on /models and GET /v1/models reflect the exact rate charged at settlement.
• Prepaid wallet credits do not expire as long as your account remains in good standing.
• Because upstream compute is consumed in real time upon request execution, consumed credits are non-refundable except in cases of verified platform billing error.

4. Intellectual Property, Customer Inputs & Outputs

As between the parties, you retain all right, title, and interest in and to the prompts, messages, files, embeddings inputs, and context you submit to the Services ("Inputs") and the completions, responses, images, audio, and vectors generated by the models ("Outputs").

Zopyr claims no ownership over your Inputs or Outputs and does not use Customer Inputs or Outputs to train, fine-tune, or improve foundation models.

5. Multi-Provider Routing, Fallbacks & Service Level

Zopyr routes requests across multiple independent AI model providers according to your request parameters (models fallback array, provider.only, provider.ignore, provider.sort). When an upstream endpoint fails before the first byte is transmitted, Zopyr automatically retries the next eligible endpoint.

While Zopyr engineers its gateway for 99.95%+ availability and sub-25ms routing overhead, availability of individual third-party foundation models depends on upstream capacity.

6. Suspension, Rate Enforcement & Termination

You may close your account or delete your Organization at any time from /app/settings. Zopyr reserves the right to throttle or suspend API keys that violate the Acceptable Use Policy, attempt to bypass billing holds, or conduct denial-of-service attacks against the gateway.

7. Disclaimers & Limitation of Liability

Artificial intelligence outputs are probabilistic and may contain inaccuracies or hallucinations. You are responsible for evaluating Outputs for safety, accuracy, and fitness before deploying them in high-stakes medical, legal, financial, or safety-critical environments.

To the maximum extent permitted by law, Zopyr’s aggregate liability arising out of or relating to these Terms shall not exceed the total amount paid by Customer to Zopyr in the twelve (12) months preceding the event giving rise to the claim.
